Ex-Officio Director Positions

The Scouts NSW Board of Directors is seeking nominations for the role of Young Adult Representative, an Ex-Officio Director position on the Board. Scouts NSW recognises and respects the World Scout Youth Involvement Policy to promote inclusion of young people as decision-makers. This role ensures that the perspective of young members is present and influential at the highest governance level of Scouts NSW.

The Scouts NSW Board of Directors are seeking nominations for the role of Country Region Representative, an Ex-Officio Director position on the Board. This role provides the Country Regions with direct representation at the highest governance level of Scouts NSW and is integral to ensuring the Board's decisions reflect the needs and opportunities of members across regional and rural New South Wales.

About Us

Scouts NSW provides young Australians aged 5 to 25 with fun and challenging opportunities to grow through adventure. 

With more than 16,500 youth and adult members from various cultural and religious backgrounds and with varying abilities, Scouts is one of the largest and most successful youth organisations in New South Wales. 

At Scouts NSW, we put the needs of young people first. Our youth led, adult supported approach ensures our youth members are always at the forefront of our program and gives them the platform to take a constructive place in society as responsible citizens and as members of their local, national and international communities. 

Scouts NSW is guided by a three-year strategy built around four interconnected pillars: growing and retaining our Members, ensuring long-term Financial Sustainability, strengthening Governance at every level of the organisation, and embedding a culture of Safeguarding that puts the safety and wellbeing of young people at the centre of everything we do.  

Underpinning these pillars is a commitment to investing in our people and volunteers, strengthening our brand and community presence, diversifying our revenue base, and deepening our relationships with government, partners and the communities we serve. The strategy reflects a deliberate shift – from an organisation managing its legacy to one actively shaping its future as the youth development experience of choice for young Australians. 

Like many large membership-based organisations, Scouts NSW is navigating a period of significant change. We are actively investing in modernising how we operate, strengthening our organisational culture, and building the capability needed to deliver for our members over the long term. For Directors who thrive in complex environments where governance genuinely matters and where their experience and contribution can shape real outcomes, this is a compelling place to contribute. 

The Candidate

Candidates must be aged 18 years or older and be eligible to apply for a current Working With Children Check. Directors are required to sign a Director’s Letter recognising their commitment to the values and ideals of Scouting, including the Scout Promise and Law. Directors are also required to abide by the Scouts Australia Adult Code of Conduct.

As a Director you will be expected to:

• Understand your legal duties and responsibilities under the Corporations Act 2001 and the Australian Charities and Not-for-profits Commission Act 2012
• Be accountable for your performance and conduct as a member of the Board
• Actively support the strategic direction and priorities of Scouts NSW
• Attend Board meetings on a quarterly basis, and at other times as required
• Have read all relevant Board Papers prior to each meeting and actively contribute at meetings.

All Directors must possess the core competencies and capabilities as listed in the nominations pack. These apply in addition to the specialist skill profile for which you are nominating.

Skills we are seeking

In 2026, the Scouts NSW Board undertook a structured self-assessment against a comprehensive Board Skills Matrix, mapping collective capability across 16 strategic and governance competencies aligned to the organisation’s 2025-2027 strategy.  

The assessment highlighted four capability areas where the Board has identified exciting opportunities to deepen its collective strength:  

• Financial governance (including the constitutionally designated Treasurer vacancy)
• Property and risk management
• Revenue generation and government relations
• Organisational transformation, people and culture.  

This is a healthy and proactive outcome – reflecting a Board that is self-aware, forward-looking and deliberate in how it builds capability ahead of a critical strategic period. The profiles below describe experience that will complement and extend what the current Board already does well.

It is important to note the Board does not expect – nor is it necessary – for any individual Director to hold deep expertise across all priority areas. The objective is to ensure the Board as a whole maintains sufficient breadth and depth of capability to govern effectively through a period of significant strategic change.
